This agreement is hereby entered into between VertLead, DBA CAPTARGET, LLC (hereinafter referred to as “VertLead”, “we”, “us”, “our”) and CLIENT (hereinafter referred to as “Client”) with offices at: 325 W. Washington St., Ste 2-143, San Diego, CA 92103, and Client.
VertLead agrees to provide Client with Lead Generation services (direct sourced new client opportunities) hereinafter referred to as Lead Generation as described in this agreement for the period of 30 days and each month after, until written notice of cancellation.
VertLead is authorized to use Client approved alias email address and inbox for distribution of solicitations and in support of interaction between Client and business owners as needed. Additionally, VertLead is authorized to communicate with targets directly on behalf of Client.
VertLead aims to create a scalable, cost-effective lead generation mechanism. Rather than aiming to create maximum deal flow volume, VertLead’s Lead Generation service aims to curate a moderate volume of high quality well-fitting new client opportunities based on the Client’s stated criteria.
VertLead is committed to providing the following service scope at a cost of $750 per month.
Working with your dedicated point of contact, VertLead will develop a master target list encompassing the universe of possible new clients consisting of up to 5,000 individual company contacts. All target identification is based on Client specific search criteria, limited to geography and industry of focus.
VertLead will build, submit, review, and modify each target list with Client. While VertLead does not aim to create additional client-facing work, it should be understood that client feedback is critical to ensuring research and targeting effort is consistent with Client’s needs, particularly in consideration to client provided source data.
Once the target list is approved, VertLead will source and test all contact information.
VertLead will develop a multi-touch, multi-pronged email outreach strategy. All content produced for the Client is created specific to each client and is not recycled. Content shall be written in consideration of the Client’s specific search criteria and company voice/identity.
VertLead will create short, concise, call-to-action oriented content. Email content will range in length and scope. Should the client wish to produce longer form, technical content (white papers, reports, etc.), additional fees may apply.
1. Account set up - Client to provide an alias email inbox for use by VertLead. Typical alias inboxes utilize an address that is similar to but does not match the primary email address of the sender at the Client firm. For example; If Client’s email address is j.johnson@msp.com, a similar alias email would be created with an email like john@msp.com. The client retains full ownership of alias email address and all its contents (emails, contact information, opportunities, etc.).
2. Email outreach - VertLead will develop an email marketing calendar that must be approved by the Client prior to initial email campaign execution. Once approved, VertLead will send email solicitations from Client alias email to targets as a direct representative of the Client firm. All email campaigns sent on Client’s behalf will be compliant with state and federal spam compliance laws including CAN SPAM act and are sent on a one-to-one delivery basis.
3. Inbox management - VertLead is responsible for all informational organization within Client alias inbox including, but not limited to; high-level responses to business owners/executives, the removal of bounced emails, and unsubscribe requests.
Each target is communicated with, on average, 4 times per quarter. The client may modify follow-up cadence during the review of the initial email marketing calendar.
Should the target respond positively, VertLead screens the opportunity for fit and either schedules a time to speak with the client directly or introduces the client to the target for direct coordination.
Monthly, VertLead will produce detailed reporting documenting all activity for the period including: campaign performance, opportunities of note, suggestions for improvement, etc.
1. Payment Terms
VertLead will charge Client’s card each monthly. After completion of initial agreement duration, client may cancel service with 30 day written notice at any time and may incur a final prorated payment for service prior to cancellation. By submitting a credit card/payment authorization form Client accepts this agreement and all its parts.
2. Assignment of Specific Rights
For the purposes of receiving professional Lead Generation services, Client agrees to provide the following:
1. Permission to use Client alias email address for the fulfillment of project scope stated above.
2. Permission to communicate directly with any third parties, e.g., target business owners and/or executives, internal I.T. staff, Client affiliates etc. if necessary.
3. Non Disclosure Agreement
Each party understands that it may have access to certain non-public confidential or proprietary information relating to the other party. All information relating to the business, operations, financial condition, customers or prospects of each party and any other information which is marked as confidential or which is reasonably understood to be confidential shall be treated as such. Each party shall refrain from using such confidential information for any purpose outside of the agreed upon scope of work.
4. Disclaimers
Client acknowledges the following with respect to services from VertLead:
1. All fees are non-refundable.
2. Client is permitted unrestricted access to VertLead personnel and is permitted free use of all deliverables provided by VertLead. Clients who do not use the allotted project deliverables (email campaigns, content pieces, email contacts etc.) during the defined service cycle are not credited future months service nor is any rollover use of any services or deliverables permitted. This is done, not in the spirit of withholding deliverables from Clients but rather to encourage timely approvals of time sensitive content. Each service agreement covers a single search vertical. Client may change search criteria periodically but running multiple unique searches simultaneously will impact costing.
3. VertLead reserves the right to terminate Client use of the services upon the discovery that the information Client provided is not complete or accurate. Client may not use VertLead for any illegal or unauthorized purpose. Client must not, in the use of the service, violate any laws in Client jurisdiction (including but not limited to copyright, spam, or trademark laws). Client is responsible for complying with all applicable local, state, national and foreign laws relating to Client use of the service. VertLead may modify, suspend or discontinue this service at any time, for any reason, at its sole discretion.
4. Client understands that VertLead uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run and manage the service.
5. VertLead is strictly a provider of research, lead generation and other similar services and makes no representations and/or warranties that a transaction using its deliverables will be completed. Client expressly understand and agrees that VertLead shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from User usage of the service.
